DERBY CITY MOVING BINS RENTAL AGREEMENT

Equipment Rented:
Derby City Moving Bins hereby rents to you (the "Renter"), and Renter hereby hires from Derby City Moving Bins, the equipment specified in our Residential and Commercial Packages, including plastic moving bins and dollies (the "Equipment").

Rent:
Renter shall pay Derby City Moving Bins rent in the amounts stated in the Checkout or Quote.

Delivery:
Derby City Moving Bins will deliver the rental Equipment to Renter's doorstep, garage, or curbside at ground level. Stairs are not included. Renter or a delegate over the age of 18 is required to be home to sign for the delivery. If Renter or delegate are not present for delivery, Derby City Moving Bins may leave bins on the front porch or in the driveway with client approval via text. The client assumes liability for bins upon delivery, regardless of whether they are present. The Derby City Moving Bins delivery driver will text photo proof of delivery and email a delivery receipt upon delivery.

Rental Terms:
The rental and related charges shall commence upon the date Equipment is delivered by Derby City Moving Bins and shall terminate on the date Equipment is picked up by Derby City Moving Bins. All rental Equipment shall not be transported or leave the service areas of Derby City Moving Bins without prior written consent.

Rental Extensions:
Renter must contact Derby City Moving Bins by email to request an extension. Derby City Moving Bins will do its best to accommodate extensions; however, availability cannot be guaranteed based on rental demand and scheduling.

For each additional week that the Equipment is rented, there is an additional charge at the rate of the second week ($20-$60), plus a $10-$20 rescheduling fee (depending on the size of the package), plus tax. Rental extensions are not eligible for discounts or referral fees.

Delivery of additional bins will be billed at $5 per bin with a 5-bin minimum and a delivery fee depending on Renter's location.

Rental Cancellation:
Delivery or pick-up that is missed or cancelled the day of the scheduled service is subject to a 50% fee of the selected rental package, billed to the customer's credit card. A cancellation made within 24 hours prior to the scheduled delivery date is subject to a 25% fee of the selected rental package, billed to the customer's credit card.

Ownership:
Equipment is, and shall at all times remain, the sole and exclusive property of Derby City Moving Bins.

Taxes:
Renter shall pay all applicable sales and rental taxes on Equipment.

Warranty:
Derby City Moving Bins warrants that the Equipment is in satisfactory operating condition at the time of delivery and will replace at no charge any Equipment that fails during normal operation. Derby City Moving Bins disclaims all other warranties, whether implied or expressed. No other warranty is offered. Renter is fully responsible for their own negligence or misuse.

Alteration:
No alteration to the Equipment may be made. Only labels provided by Derby City Moving Bins are permitted to be used on Equipment. Tape is prohibited from being used on Equipment. If Renter desires to additionally secure the Equipment, zip ties may be used.

Proper care and maintenance of the Equipment during its use shall be the responsibility of the Renter. Equipment returned in a condition requiring cleaning or repairs due to excessive wear and tear or mishandling will be restored to rentable condition at the expense of the Renter.

Assignment:
Neither this Agreement nor the Equipment may be assigned, transferred, or otherwise encumbered by the Renter.

Risk of Loss:
Upon delivery of the Equipment, the Renter shall inspect the Equipment to determine whether it has been damaged during delivery. In the event of any such damage, the Renter shall promptly notify Derby City Moving Bins and a replacement will be provided.

Otherwise, the Renter shall be deemed to have accepted the Equipment as being in acceptable operating condition. During the period of the Renter's possession and control of the Equipment, all risk of loss, destruction, or damage to the Equipment, from any cause whatsoever, shall be the sole responsibility of the Renter.

The cost to replace or repair damaged Equipment, or to replace Equipment not returned, will be charged to the Renter's credit card.

Operation / Damages:
The Renter shall use the Equipment in a safe and careful manner. The Renter should examine the Equipment upon delivery to ensure it is acceptable.

The Renter shall indemnify and hold Derby City Moving Bins harmless from any liability whatsoever resulting from the Renter's use of the Equipment.

The weight limit for a bin is 70 lbs. and the weight limit for a dolly is 480 lbs.

Derby City Moving Bins is not responsible for the result of any loss or damages caused during the Renter's move.

Derby City Moving Bins is not responsible for any damaged contents placed in the Equipment or damaged while in the Equipment.

Derby City Moving Bins shall not be liable for any damages that exceed the amount actually paid by the Renter to Derby City Moving Bins or $500.00, whichever is less.

In no event shall Derby City Moving Bins be liable to the Renter for consequential, incidental, indirect, punitive, or special damages, including commercial loss or lost profits, however caused and regardless of legal theory or foreseeability.

Equipment is not to be used to transport hazardous materials.

Dollies are to be used for moving rental bins only. They are not intended to move furniture or appliances.

Purchase, damaged, or lost bin replacement cost is $40 each.

Purchase, damaged, or lost dolly replacement cost is $70 each.

Equipment packages returned requiring deep cleaning due to their condition are subject to a $3.00 per bin charge.

Equipment packages containing pet hair are subject to an additional $5.00-$15.00 per package charge, depending on package size.

Payment Types:
Visa, MasterCard, American Express, and Discover. No checks accepted.

Payment Terms:
Payment is due upon placing an order.

Rental extensions will be charged automatically and are calculated based on the Equipment pick-up date and time.

Renter acknowledges that their credit card will be kept on file for the duration of the rental agreement.

Renter authorizes Derby City Moving Bins to charge the amounts associated with these terms and conditions, including orders, extensions, cancellations, damages, and other applicable charges.

Default and Remedies:
Renter shall be deemed to have breached this Agreement if the Renter:

Defaults in any payment as set forth in the Renter's invoice.

Defaults in any term of this Agreement and such default remains uncorrected for three (3) days after written notice from Derby City Moving Bins.

Becomes insolvent, or if a petition is filed by or against the Renter under bankruptcy laws or any law concerning the relief of debtors.

This Agreement shall be governed by the laws of the Commonwealth of Kentucky.

The parties irrevocably agree that any legal or equitable proceeding arising out of or relating to this Agreement shall be brought exclusively in Jefferson County, Kentucky.

By execution and delivery of this Agreement, each party irrevocably accepts and submits to the jurisdiction of such courts.

Temporary Closure:
Derby City Moving Bins reserves the right to temporarily cease operations in the event of a state or national emergency, natural disaster, inclement weather, terrorist attack, disease epidemic, pandemic, or other circumstances beyond its reasonable control.

Termination:
In the event of any default, Derby City Moving Bins may declare the entire amount of unpaid rental payments immediately due and payable and may immediately terminate this Agreement.

Upon termination, Derby City Moving Bins may enter the premises where the Equipment is located and remove the Equipment.

All costs and expenses incurred in recovering Equipment and/or rental fees, including reasonable attorney fees, shall be paid by the Renter.

Delivery or pick-up that is missed or cancelled on the scheduled date is subject to a 50% fee of the selected rental package.

Order cancellations made within 24 hours of the scheduled delivery date are subject to a 25% fee of the selected rental package.

Derby City Moving Bins reserves the right to refuse service to anyone.

The Renter agrees to the Derby City Moving Bins Terms of Service.
